Terms of Service

These Terms of Service (“Terms”) govern your access to and use of www.getoutthelists.com (the “Site”) and any services we provide through it (the “Services”), operated by Get Out The Lists (“Get Out The Lists,” “we,” “us,” or “our”). Please read them carefully.

1. Acceptance

By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. If you use the Site on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to both you and that organization.

3. The Site is not an offer

Information on the Site is provided for general informational purposes. Nothing on the Site is an offer, commitment, or guarantee to enter into any engagement, to purchase or license any file, or to pay any amount. Any engagement is governed by a separate written agreement signed by both parties, and that agreement controls in the event of a conflict with these Terms.

4. Submissions and inquiries

When you submit information through the Site — including a request for a file valuation — you agree that the information you provide is accurate and that you are authorized to provide it. We may use the information to respond to your inquiry and as described in our Privacy Policy.

A valuation, estimate, or projection we provide is an informational estimate only. It is not a guarantee of results, revenue, or performance, and it may be based on assumptions that do not hold for your file. It does not obligate either of us to enter into an agreement.

5. If you provide a file

If you provide us with a donor file, email list, membership record, or similar data, you represent and warrant that:

  • You own the data or have all rights, licenses, and consents necessary to provide it to us and to permit the uses contemplated by our agreement;
  • Your collection of the data and its provision to us comply with all applicable laws, including privacy, data protection, and anti-spam laws such as the CAN-SPAM Act, and with any privacy policy or notice under which the data was collected;
  • You have honored all opt-out, unsubscribe, deletion, and do-not-contact requests you have received relating to the data; and
  • Providing the data to us does not breach any contract or third-party right.

You are responsible for the accuracy and lawfulness of data you provide.

6. Acceptable use

You agree not to:

  • Use the Site for any unlawful purpose or in violation of these Terms
  • Attempt to gain unauthorized access to the Site, our systems, or any data we hold
  • Scrape, crawl, harvest, or otherwise extract data from the Site by automated means without our written permission
  • Interfere with or disrupt the Site, including by transmitting malicious code or overloading our infrastructure
  • Submit information that is false, misleading, or that you have no right to submit
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of any part of the Site

7. Intellectual property

The Site and its contents — including text, graphics, layout, and software — are owned by Get Out The Lists or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your own informational and business purposes. All other rights are reserved.

8. Third-party names and logos

Names, marks, and logos of third parties that appear on the Site are the property of their respective owners and are used for identification purposes. Their appearance does not imply any endorsement, sponsorship, or affiliation beyond any relationship described in writing.

9. No professional advice

Nothing on the Site is legal, compliance, financial, tax, or campaign advice. Fundraising and the handling of donor data are regulated activities. You are responsible for obtaining your own advice and for your own compliance with applicable law, including federal and state campaign finance and privacy requirements.

10. Disclaimers

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY INFORMATION ON IT IS ACCURATE, COMPLETE, OR CURRENT. WE MAKE NO GUARANTEE OF ANY PARTICULAR RESULT, REVENUE, OR PERFORMANCE.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GET OUT THE LISTS AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless Get Out The Lists and its officers, members, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Site, your breach of these Terms, or any data you provide to us.

13. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.

14. Changes

We may modify these Terms at any time. When we do, we will revise the “Last updated” date at the top of this page. Your continued use of the Site after a change means you accept the revised Terms.

15. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Site. You may not assign these Terms without our written consent.
